Terms of Service

Welcome to Nosh. These Terms of Service ("Terms") govern your use of the Nosh mobile application and website ("Service"), operated by The Golden Bubbie LLC ("Nosh," "we," "us," or "our"). By using the Service, you agree to these Terms.

1. Who We Are

Nosh is a food delivery platform connecting customers with local restaurants and independent delivery drivers. Nosh is not a restaurant, does not prepare food, and does not employ drivers. We are a technology platform that facilitates connections between independent parties.

2. Eligibility

You must be at least 18 years old to use Nosh. By creating an account, you confirm that you meet this requirement and that all information you provide is accurate.

3. Account Roles

• Customers: order food for delivery through the Service
• Restaurants: list menus and receive orders through the Service
• Drivers: accept and complete delivery requests as independent contractors

4. Subscription and Fees

Threshold-Based Activation

Restaurants and drivers pay no monthly fee until they have earned a threshold amount through Nosh. The current Activation Threshold is $500 in gross earnings. Until the Activation Threshold is reached, 100% of earnings are paid to the user, subject to payment processor fees.

Monthly Subscription After Activation

Once a user reaches the Activation Threshold, a monthly subscription fee applies. The current subscription amount is $50 per month, deducted from subsequent earnings rather than billed separately. In any given month:

• The subscription amount is deducted from the user's earnings until the $50 is covered
• After the $50 is covered, 100% of remaining earnings for that month are paid to the user
• On the 1st of each month, the subscription balance resets

Changes to Thresholds and Fees

We may adjust the Activation Threshold and subscription amount with at least 30 days' notice. Continued use of the Service after a change takes effect constitutes acceptance.

Customer Fees

Customers pay the menu price listed by the restaurant, applicable taxes, and any optional tip. A small platform service fee may apply in the future; any such fee will be clearly disclosed at checkout before the order is placed.

Payment Processing

All payments are processed by Stripe. Payment processor fees may be deducted from payouts. Nosh does not store full payment card numbers.

5. Orders and Payouts

Customers are charged when the order is placed. Restaurants and drivers receive payouts according to the payout schedule described in the app. Refunds for cancelled or failed orders are handled on a case-by-case basis following our cancellation policy.

6. Driver Independent Contractor Status

Drivers on the Nosh platform are independent contractors, not employees of Nosh. Drivers control when, where, and how they accept deliveries. Nosh does not provide vehicles, insurance, or benefits. Drivers are responsible for their own taxes, insurance, and compliance with local regulations.

7. User Conduct

You agree not to:

• Use the Service for any illegal purpose
• Harass, threaten, or harm other users
• Misrepresent your identity or information
• Interfere with the Service's operation or security
• Use automated tools (bots, scrapers) without permission

Violation of these rules may result in account suspension or termination.

8. Safety and Reporting

Nosh takes safety seriously. Users can report safety concerns, misconduct, or emergencies through the app or by emailing hello@noshtheapp.com. We will investigate reports promptly and take appropriate action, which may include account suspension or removal. In emergencies, contact 911 directly.

9. Cancellation and Refunds

• Orders can be cancelled by the customer for a full refund before the restaurant begins preparation
• Once preparation begins, partial refunds may apply
• Orders cannot be cancelled after pickup by the driver
• If a driver cancels mid-delivery, the order will be reassigned or refunded

10. Limitation of Liability

To the maximum extent permitted by law, Nosh is not liable for indirect, incidental, or consequential damages arising from use of the Service. Our total liability for any claim is limited to the amount you paid Nosh in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Nosh, The Golden Bubbie LLC, and its affiliates from any claims arising from your use of the Service or violation of these Terms.

12. Dispute Resolution

Most disputes can be resolved informally by contacting hello@noshtheapp.com. If a dispute cannot be resolved informally, it will be resolved through binding arbitration under the rules of the American Arbitration Association (AAA) in New York, New York. You waive the right to a jury trial and to participate in class actions, except where prohibited by law.

13. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of laws principles.

14. Apple App Store Additional Terms

If you downloaded Nosh from the Apple App Store, the following applies: You acknowledge that these Terms are between you and Nosh only, and not with Apple. Apple is not responsible for the Service or its content. Apple has no obligation to provide maintenance or support. Apple is a third-party beneficiary of these Terms and may enforce them against you.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect.
